Terms of Service

These Terms govern your use of GymTribe and explain the responsibilities shared by Sambangi, independent trainers, and clients.

1. Agreement

These Terms of Service ("Terms") are a legal agreement between you and SAMBANGI CONSULTANCY INC., doing business as Sambangi Inc. ("Sambangi", "GymTribe", "we", "us", or "our"), for the GymTribe application, website, and related services (the "Service"). By creating an account, purchasing a subscription, accepting a trainer invitation, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and legally capable of entering a binding agreement. You must provide accurate information and use the Service only where permitted by law.

3. Accounts

You are responsible for your account, credentials, device access, and activity. Keep your information current and notify us promptly at support@gymtribe.fitness if you suspect unauthorized access. You may not sell, transfer, share, or impersonate another person's account.

4. What GymTribe provides

GymTribe provides software tools for fitness and nutrition tracking, meal logging, AI-assisted food estimates, goals, progress, trainer invitations, trainer-client data sharing, and subscriptions. Features may differ by role, plan, device, region, or release.

5. General wellness only

Nutrition targets, food estimates, progress information, and trainer guidance are for general fitness and wellness. Consult a qualified professional before changing diet or activity, especially if you have a medical condition, take medication, are pregnant, have allergies, or have a history of disordered eating. Do not use GymTribe for an emergency; contact local emergency services.

6. AI estimates

Photo and text analysis uses automated systems and may misidentify food, quantities, ingredients, allergens, or nutrients. Results are estimates and require your review. Never rely on an AI result to determine whether food is safe for an allergy, medical condition, or dietary restriction.

7. Independent trainers and clients

Trainers using GymTribe are independent service providers. They are not Sambangi employees, agents, medical providers, or representatives. Sambangi does not provide coaching, supervise trainers, create the trainer-client relationship, or guarantee a trainer's qualifications, advice, conduct, or results.

Trainers must obtain appropriate authorization before inviting clients, access client information only for legitimate coaching, protect confidentiality, maintain required qualifications, and avoid diagnosis or treatment unless independently licensed and legally permitted.

A client chooses whether to accept an invitation and controls whether a connected trainer sees information from the invitation date or all prior history. Clients are responsible for evaluating trainers independently.

8. Subscriptions and billing

Some features require a paid subscription or trial. Prices, duration, included capacity, taxes, and renewal terms are shown before purchase. Unless stated otherwise, subscriptions renew automatically until cancelled.

• Purchases through Apple are billed to your Apple ID and governed by Apple's payment terms.
• You can manage or cancel an Apple subscription in your Apple account settings. Deleting GymTribe or your GymTribe account does not automatically cancel a subscription.
• Cancellation stops future renewal and normally leaves access active through the paid period.
• Refund requests for App Store purchases are handled by Apple, subject to applicable law and Apple's policies.
• Trials and promotions may end or convert as disclosed when started.

Nothing in these Terms limits a non-waivable consumer right under Indian, Canadian, or other applicable law.

9. Your content

You retain ownership of information and content you submit, including meal photos, profile images, logs, and text ("User Content"). You grant Sambangi a limited, worldwide, non-exclusive licence to host, process, reproduce, and display User Content only as needed to operate, secure, improve, and support the Service and fulfil your sharing choices. This licence ends when content is deleted, except for lawful retention and protected backups.

You must have the rights and permissions needed to upload User Content. Do not upload another person's private information, unlawful content, or images unnecessary for the feature.

10. Acceptable use

You must not:

• Use the Service unlawfully, fraudulently, deceptively, or to harm another person.
• Access another account or client record without authorization.
• Scrape, probe, disrupt, overload, reverse engineer, or bypass security or access controls, except where law expressly permits.
• Upload malware, infringing material, harassment, or content violating privacy or other rights.
• Use the Service for emergency, diagnostic, or regulated medical care beyond your lawful qualifications.
• Resell or commercially exploit the Service except through an authorized GymTribe trainer plan.

11. Our intellectual property

The Service, software, branding, design, and Sambangi-provided content are owned by Sambangi or its licensors and protected by law. Subject to these Terms, we grant you a personal, limited, revocable, non-exclusive, non-transferable licence to use the Service on devices you own or control for its intended purpose.

12. Third-party services

The Service depends on third parties for authentication, hosting, AI analysis, payments, subscriptions, and platform features. Their terms and privacy practices may also apply. We are not responsible for third-party services outside our control, but this does not limit responsibilities applicable law places on us.

13. Availability and changes

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free availability. We may maintain, modify, add, remove, or discontinue features. If a change materially reduces a paid Service, we will provide notice or a remedy where required by law.

14. Suspension and termination

You may stop using the Service or delete your account at any time. We may restrict or terminate access when reasonably necessary to address a Terms violation, fraud, security risk, legal requirement, non-payment, or harm. Where appropriate, we will provide notice and an opportunity to resolve the issue.

15. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available". Sambangi disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not promise specific fitness, health, business, income, client, or coaching outcomes. These disclaimers do not exclude warranties, guarantees, or remedies that cannot lawfully be excluded.

16. Limitation of liability

To the maximum extent permitted by law, Sambangi and its directors, officers, employees, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, data, goodwill, or opportunities arising from the Service.

To the maximum extent permitted by law, Sambangi's total liability for claims relating to the Service will not exceed the greater of the amount you paid Sambangi during the 12 months before the event giving rise to the claim or CAD $100. This does not limit liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, non-waivable privacy or consumer rights, or liability that law does not permit us to limit.

17. Governing law and disputes

Please contact support@gymtribe.fitness first and allow a reasonable opportunity to resolve a concern. These Terms are governed by Alberta law and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to mandatory consumer rights and jurisdiction rules where you live, disputes may be brought in courts located in Calgary, Alberta.

If you live in India or another jurisdiction, this clause does not deprive you of protections or forums that cannot be waived under applicable law.

18. Apple App Store terms

If you obtained GymTribe through Apple, these Terms are between you and Sambangi, not Apple. Sambangi, not Apple, is responsible for the app, maintenance and support, and claims relating to it, subject to these Terms and applicable law. Your licence is limited to Apple-branded products you own or control as permitted by the Apple Media Services Terms, including Family Sharing where applicable.

You represent that you are not located in a country subject to an applicable government embargo and are not listed on a prohibited or restricted-party list. You must comply with applicable third-party terms. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

19. General

If part of these Terms is unenforceable, the remaining parts remain effective. Failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, financing, reorganization, or sale. These Terms and the Privacy Policy form the entire agreement about the Service unless separate written terms expressly apply.

20. Changes and contact

We may update these Terms. We will post revised Terms, update the effective date, and provide additional notice of material changes where required. Continuing to use the Service after revised Terms take effect means you accept them, except where law requires express consent.
